TIME-SHARE REGULATIONS (REPEALED)

18VAC135-40-20. Definitions and explanation of terms. (Repealed.)

Application for registration of time-share projects and programs shall be filed with the board on an application form furnished by the board and shall contain all of the documents and information required by § 55-391.1 of the Code of Virginia.

The board may establish specific guidelines which establish the form for preparation of the application for registration. These guidelines may set forth reasonable requirements for paper size, binding and organization which assure uniformity in the manner disclosures are made to prospective purchasers.

1. 타임쉐어 프로젝트 등록 신청서 원본의 제출 수수료는 $1,500 입니다.

2. 타임쉐어 프로젝트에 단계를 추가하는 등록 신청서 수정에 대한 제출 수수료는 $250 입니다.

A. 개발자 또는 개발자를 대리하는 개인이나 단체는 타임쉐어가 등록되기 전에 이를 제공하거나 처분해서는 안 됩니다.

B. No preregistration time-share marketing activity shall be deemed an offer unless, by its express terms, it induces, solicits or encourages a prospective purchaser to execute a contract of sale for a time-share or perform some other act which would create or purport to create a legal or equitable interest in a time-share other than a security interest in or a nonbinding reservation of the time-share.

18VAC135-40-110. 시간제 마케팅 표준. (폐지됨)

A. No promise, assertion, representation or statement of fact or opinion in connection with a time-share marketing activity shall be made which is false, inaccurate or misleading by reason of inclusion of an untrue statement of a material fact or omission of a statement of a material fact relative to the actual or intended characteristics, circumstances or features of the time-share project or a time-share.

B. No promise, assertion, representation or statement of fact or opinion made in connection with a time-share marketing activity and relating to a time-share project not registered shall, by its express terms, induce, solicit or encourage a contract for sale or performing some other act which would create or purport to create a legal or equitable interest in the time-share other than a security interest in or a nonbinding reservation of the time-share, when to do so would circumvent the provisions of the Virginia Real Estate Time-Share Act.

18VAC135-40-140. 공모 설명서의 작성 및 배포. (폐지됨)

A. The public offering statement shall be clear and legible with pages numbered sequentially. The first page of the public offering statement shall conform to the specimen appended as Appendix A to this chapter and made a part hereof.

B. 개발자는 공개 모집 설명서의 일부로, 잠재적 구매자가 공개 모집 설명서를 수령했음을 확인하기 위해 개발자가 확인할 수 있도록 인쇄된 수령 확인 페이지를 포함할 수 있습니다. 수령 확인 페이지에는 공개 모집 설명서의 효력 발생일 및 배송일 기재란과 잠재적 구매자의 서명란이 포함되어야 합니다. 적법한 형식으로 작성되고 적법하게 서명된 승인된 수령 확인서는 공개 모집 설명서가 전달되었음을 증명하는 증거가 됩니다.

C. 개발자는 구매자가 타임쉐어 구매 계약을 체결하기 전에 모든 구매 예정자에게 현재 공모 설명서를 배포해야 합니다.

A. 버지니아주 법령 § 55-374 및 본 장의 조항은 타임쉐어 프로젝트의 특성 및 중요한 상황과 제공되는 타임쉐어의 특성에 영향을 미치는 사항을 공모 설명서에 완전하고 정확하게 공개하도록 엄격하게 해석되어야 합니다.

B. The requirements for disclosure are not exclusive. In addition to expressly required information, the developer shall disclose all other available information which may reasonably be expected to affect the decision of the ordinarily prudent purchaser to accept or reject the offer of a time-share. The developer shall disclose any additional information necessary to make the required information not misleading. No information may be presented in such a fashion as to obscure the facts, to encourage a misinterpretation of the facts or otherwise to mislead a purchaser.

C. No information shall be incorporated by reference to an extrinsic source which is not readily available or already known to an ordinary purchaser. Whenever required information is not known or not reasonably available, such fact shall be stated in the public offering statement with a brief explanation. Whenever special circumstances exist which would render required disclosure inaccurate or misleading, the required disclosure shall be modified to accomplish the purpose of the requirement or the disclosure shall be omitted, provided that such modification or omission promotes full and accurate disclosure.

D. 공모 설명서는 완전하고 정확한 공시에 부합하는 만큼 간결하게 작성해야 합니다. 어떠한 경우에도 공모 설명서는 면밀한 검토를 방해할 정도로 길거나 자세하게 작성되어서는 안 됩니다. 중복 및 불필요한 법률 용어는 사용하지 않는 것이 좋습니다.

E. 공모 설명서의 의견 표현은 그 안에 표현된 의견에 대한 사실상의 근거가 없는 한 완전하고 정확한 공개와 일치하지 않는 것으로 간주됩니다. 단, 이 문장은 타임쉐어 부동산 프로그램의 운영을 위한 예상 예산을 제시해야 하는 개발자의 의무에 어떠한 방식으로도 영향을 미치지 않습니다.

F. 간략한 발췌를 제외하고, 공모 명세서에는 타임쉐어 상품 또는 기타 문서의 축약된 부분을 포함하지 않아야 합니다. 개발자는 공모 설명서에서 필수 공시 사항을 찾을 수 있는 타임쉐어 상품 또는 공모 설명서에 첨부된 문서의 관련 부분에 구매자의 주의를 기울일 것을 권장하며, 참조로 포함되는 경우 공모 설명서의 일부로 간주됩니다.

G. 지도, 사진 및 도면은 타임쉐어 프로젝트의 필수 특성 및 중요한 상황과 제공 중인 타임쉐어의 특성을 완전하고 정확하게 공개하는 데 도움이 되는 경우에 한해 공모 설명서에 사용할 수 있습니다.

공모 설명서는 명확하고 이해하기 쉬워야 합니다. 공모 설명서는 버지니아 부동산 시간 공유법 및 이 장에서 요구하는 모든 정보가 명확하고 이해하기 쉬운 방식으로 포함되어 있는 한 서술, 질의응답 또는 개발자가 선택한 기타 형식으로 작성할 수 있습니다. 공모 설명서를 작성할 때 버지니아 부동산 시간 공유 법에 정의된 용어를 사용하는 것이 좋습니다. 이 섹션의 준수 여부에 대한 결정은 운영위원회의 전적인 재량에 따라 이루어집니다.

18VAC135-40-420. 공모 설명서의 수정, 중대한 변경. (폐지됨)

A. 개발자는 버지니아주 법령의 § 55-362 에 정의된 대로 중대한 변경이 발생한 날로부터 영업일 기준 20 일 이내에 공모 설명서를 수정하여 중대한 변경을 구성하는 각 사항을 공개해야 합니다.

B. 중대한 변경의 발생으로 인해 필요한 공모 설명서의 수정은 공모 설명서의 정보 표시 형식에 관한 본 장의 다른 조항을 엄격히 준수하는 것이 지나치게 부담스럽지 않은 범위 내에서 이해하기 쉬운 방식으로 이루어질 수 있습니다, 개발자는 (i) 그러한 편차가 상황에 따라 필요하고 적절한 것보다 더 광범위하지 않고, (ii) 본 장의 요건을 엄격히 준수하며, (iii) 수정된 공모 설명서의 정보 표시가 읽기 쉽고 이해하기 쉽도록 구성되는 경우, 공모 설명서를 수정할 때 이를 벗어날 수 있습니다. 이 장에 포함된 어떠한 내용도 공모 증권신고서의 공시 내용에 관한 이 장의 엄격한 준수를 벗어나는 것을 허용하지 않습니다. 중대한 변경으로 인해 정보가 부정확하거나 오해의 소지가 있는 경우, 해당 정보는 공모 설명서에서 삭제하거나 정보가 정확하고 오해의 소지가 없도록 수정해야 합니다.

18VAC135-40-430. 수정된 공모 증권신고서 제출. (폐지됨)

A. 개발자는 18VAC135-40-420 에 따라 생성된 수정된 공모 명세서 사본을 이사회에 제출해야 합니다. 신청서에는 개발자가 날짜를 기입하고 이사회가 날짜를 기입한 영수증을 첨부해야 합니다. 수정된 공모 명세서는 이사회에 접수되는 즉시 효력이 발생합니다.

B. 18VAC135-40-420 에 따라 수정된 문서를 이사회에 제출할 때 문서 표면에 수정 사항이 명확하지 않은 경우, 변경 사항을 표시하기 위해 문서에 밑줄을 긋거나 강조 표시 또는 기타 표시를 해야 합니다.
